These Terms of Use govern your use of Femenii, an easy-to-use period tracker for every woman, with an ovulation calculator and fertility calendar built-in available via the link https://femenii.com/ (the “Website”) and the related application software distributed via application store(s) (the “App”), collectively referred to as the “Service”.

By using the Service on any computer, mobile phone, tablet or another device (collectively the “Device”), you as a user of the Service confirm that you have read, understand and agree to be bound by these Terms of Use and any other applicable law. 

Who may use the service

All the services are available only for individuals aged 13 years or older. If you are 13 or older but under the age of 18, or the legal age of majority where you reside if that jurisdiction has an older age of majority, then you agree to review this terms of use with your parent or guardian to make sure that both you and your parent or guardian understand and agree to this terms of use. You agree to have your parent or guardian review and accept this terms of use on your behalf. If you are a parent or guardian agreeing to this terms of use for the benefit of a child over 13, then you agree to and accept full responsibility for that child’s use of the services, including all financial charges and legal liability that he or she may incur.

Our Privacy Policy describes how we handle the information you provide to us when you use our Services. You understand that through your use of the Services you consent to the collection and use (as set forth in the Privacy Policy) of this information.

Your continued use of the Service shall be considered your acceptance of the revised Terms of Use. If you do not agree to these Terms of Use, please do not use this Service.

We may from time to time in our sole discretion develop and provide updates to the Services, change the Services, restrict access to the Services (including to registered users) or withdraw or terminate the Services entirely, and we reserve the right to do so in our sole discretion without notice. Any such updates or changes will be deemed part of the Services and subject to all terms and conditions of these Terms. We will not be liable to you or any third party for any modification, suspension or discontinuance of the Services. In the event of modification or termination, you will still be bound by your obligations under these Terms, including the warranties made by you, and by the disclaimers and limitations of liability.

You may only use the Services as explicitly authorized and in compliance with any policies made available to you within the Services. You may not use such proprietary information or materials in any way whatsoever except for permitted use of the Services. No portion of the Services may be reproduced in any form or by any means. Without limiting the foregoing, you may not do any of the following while accessing or using the Services:

• Use the Services for any revenue generating endeavor, commercial enterprise, or other purpose other than for personal, non-commercial use, without our express written consent;
• Express or imply that any statements you make are endorsed by Femenii;
• Scrape the Services or use other automated or manual means to take our content without our express prior written consent;
• Modify, adapt, translate, reverse engineer, decompile, disassemble or convert into human readable form any of the contents of the Services not intended to be so read;
• Take any action that imposes or may impose (as determined by us in our sole discretion) an unreasonable or disproportionately large load on our or our third party providers’ infrastructure;
• Interfere or attempt to interfere with the proper working of the Services or any activities conducted on the Services;
• Bypass, circumvent, or attempt to bypass or circumvent any measures we may use to prevent or restrict access to the Services, including without limitation other accounts, computer systems or networks connected to the Services;
• Run any form of auto-responder or “spam” on the Services;
• Access or use the Services for any illegal or unauthorized purpose, including to harass, abuse, defame or otherwise infringe or violate the rights of any other party; or
• Otherwise take any action in violation of these Terms.

Your User Account

In order to use the Service you need to register.

By creating account for use of the Service, you warrant that all the information provided by you for registration is true and accurate. You also agree not to misrepresent your identity by registering an account in the name of another person.

As a registered user of the Service, you must not sell or otherwise transfer your account credentials (i.e. your username and password) to any third party. You acknowledge that you are solely responsible for maintaining confidentiality and security of your user account credentials. We are not responsible for any losses arising from the unauthorized use of your account. 
Your user account may be accessed by entering your credentials on any platform, across which the Service operates. You may terminate your user account at any time as described in the “Termination” section below.

We reserve the right to suspend or terminate your user account at any time without notice as provided by these Terms of Use.

Your License to Use the Services

Subject to these Terms of Use, we grant you non-exclusive, non-transferable, non-sublicensable, revocable limited license to use the Service solely for your personal, non-commercial purposes. This license does not allow you to use the Service on any Device that you do not own or rightfully control, and you may not distribute or make the Service available over a network where it could be used by multiple devices at the same time. You may not rent, lease, lend, sell, redistribute or sublicense the Service. You may not copy (except as expressly permitted by this license or terms of the relevant certified application store, from which you have downloaded the App), decompile, reverse engineer, disassemble, attempt to derive the source code of, modify or create derivative works of the Website or the App, any updates, or any part thereof (except as and only to the extent any foregoing restriction is prohibited by applicable law). Any attempt to do so is a violation of our rights as a licensor. If you breach this restriction, you may be subject to prosecution and damages.

Intellectual Property

All intellectual property on the Service, which includes materials protected by copyright, trademark, or patent laws, is proprietary either to us or to third parties. All trademarks, service marks and trade names are owned, registered and/or licensed by us. All content offered by the Service (except for personal information), including but not limited to text, software, scripts, code, designs, graphics, photos, sounds, music, videos, applications, interactive features and all other content (the “Content”) is our intellectual property; all rights reserved.

The Service may contain links to websites, applications or other products or services operated by other companies (the “Third-Party Services”). We do not endorse, monitor or have any control over the Third-Party Services, which have separate terms of use and privacy policies. We are not responsible for the content or policies of the Third-Party Services and you access such Third-Party Services at your own risk.

Availability of the Services

Although we aim to offer you the best service possible, we make no promise that the Services will meet your requirements and we cannot guarantee that the Services will be fault free. If a fault occurs in our Services, please report it to us at hello.femenii@gmail.com and we will review your complaint and, where we determine it appropriate to do so, correct the fault. We will not be liable to you if the Services are unavailable from time to time

Your access to the Services may be occasionally restricted to allow for repairs, maintenance or the introduction of new facilities or Services. We will restore the Services as soon as we reasonably can.

Disclaimers and Limitations of Liability

The Services are Available “AS-IS”

Your access to and use of the Services or any Content are at your own risk. You understand and agree that the Services are provided to you on an “AS IS” and “AS AVAILABLE” basis. Without limiting the foregoing, to the maximum extent permitted under applicable law, THE FEMENII ENTITIES DISCLAIM ALL WARRANTIES AND CONDITIONS, WHETHER EXPRESS OR IMPLIED, OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. The Femenii Entities make no warranty or representation and disclaim all responsibility and liability for: (i) the completeness, accuracy, availability, timeliness, security or reliability of the Services or any Content; (ii) any harm to your computer system, loss of data, or other harm that results from your access to or use of the Services or any Content; (iii) the deletion of, or the failure to store or to transmit, any Content and other communications maintained by the Services; and (iv) whether the Services will meet your requirements or be available on an uninterrupted, secure, or error-free basis. No advice or information, whether oral or written, obtained from the Femenii Entities or through the Services, will create any warranty or representation not expressly made herein.

Limitation of Liability

To the maximum extent permitted by applicable law, the Femenii entities shall not be liable for any indirect, incidental, special, consequential or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the services; (ii) any conduct or content of any third party on the services, including without limitation, any defamatory, offensive or illegal conduct of other users or third parties; (iii) any content obtained from the services; or (iv) unauthorized access, use or alteration of your transmissions or content. The limitations of this subsection shall apply to any theory of liability, whether based on warranty, contract, statute, tort (including negligence) or otherwise, and whether or not the Femenii entities have been informed of the possibility of any such damage, and even if a remedy set forth herein is found to have failed of its essential purpose.

Termination

These Terms of Use are effective until terminated by either you or us.

You may terminate these Terms of Use at any time, provided that you discontinue any further use of the Service. You may also terminate your user account by using the appropriate deletion functions, if available through the Service.

If you violate these Terms of Use, we reserve the right to terminate your use or access to the Service, including by means of terminating your account.
